Alphabet disclosed last week that the potential financial guarantees it has provided for data center tenant defaults have surged to $43.8 billion. This figure, referred to as 'notional value,' represents a nearly sixfold increase from $6.5 billion as of the end of September last year. Through such 'financial backstop' commitments, Google effectively acts as an implicit guarantor for data center developers, enabling them to secure cheaper debt financing and accelerate capacity expansion.
To support its massive artificial intelligence investments and expand the market share of its in-house chips, Google is deeply leveraging Wall Street’s financial engineering techniques, significantly increasing off-balance-sheet risk exposure to secure future business growth.

This strategy marks a sharp shift in Alphabet’s capital structure. In an effort to promote its Tensor Processing Units (TPUs) to clients like Anthropic as alternatives to NVIDIA’s AI chips, Google is assuming tens of billions of dollars in off-balance-sheet lease liabilities. Under unprecedented pressure from AI-related capital expenditures, the company’s historically simple balance sheet—characterized by abundant cash reserves and minimal debt—has become a thing of the past.
Despite the substantial notional exposure, the actual fair value recorded on Google’s balance sheet amounts to just $815 million. Credit rating agencies and market analysts note that Google’s robust cash flow is sufficient to support this expansion strategy, and the company is mitigating risk—for example, by securing warrants from developers—indicating that the actual financial impact remains tightly controlled for now.
Restructuring the Capital Structure and the 'Backstop' Mechanism
Over the past year, massive AI investments have compelled Alphabet to seek financing beyond its own cash reserves, fundamentally altering its capital structure.
As of June 30, the company’s debt had risen to $98 billion from $23.6 billion a year earlier, and it issued stock for the first time in over two decades. Last week’s earnings report further highlighted funding pressures, as Alphabet reported negative free cash flow in the second quarter—the first time this has occurred since its initial public offering.
Against this backdrop, Google has begun deploying TPUs into data centers operated by third parties—often former cryptocurrency miners transitioning into AI infrastructure, such as Hut 8 and TeraWulf. In many of these arrangements, cloud startup Fluidstack leases and operates the planned data centers, installs TPUs, and then rents out computing capacity to Anthropic. According to sources familiar with the matter, Alphabet executives assess these guarantees by looking through Fluidstack’s lease agreements to evaluate the risk of default or bankruptcy by the ultimate end users.
Using Guarantees to Drive Chip Sales
Google’s core motivation for undertaking these off-balance-sheet commitments is to scale sales of its TPUs. According to The Information, citing two individuals directly familiar with the company’s internal deliberations, Google’s internal analysis shows that future revenue from TPU sales will significantly exceed the financial obligations arising from providing lease guarantees for the data centers housing these chips. One of the sources stated that company executives are confident this financial calculus is highly favorable for Alphabet.
According to informed sources, Alphabet has already provided guarantees for leases covering approximately ten projects with a total capacity of about 2.4 gigawatts. Since these projects have not yet been completed, Alphabet’s guarantees have not yet taken effect. Notably, the TPUs actually deployed within data centers are financed through a separate mechanism, under which Broadcom—involved in TPU design—has provided its own guarantees in many of these agreements.
Surge in Exposure and Fair Value Assessment
The $43.8 billion notional amount disclosed by Google in its securities filings represents the maximum potential payment obligation it could face in the future. However, the $8.15 billion fair value recorded on its balance sheet reflects Google’s estimated actual likely payment amount. This derivative position is accounted for at fair value, and changes in this value directly affect Google’s income statement. Alphabet’s fair value estimate is based on its assumptions regarding the probability of default, timing of default, and potential recovery amounts.
Jordan Chalfin, Head of Technical Research at CreditSights, stated that there is currently no need to be overly concerned about Alphabet’s notional figure. In an interview, he noted that the disclosed figure represents the maximum possible loss and that “multiple factors can mitigate this exposure.” If tenants default, Google typically retains the right to take over the underlying lease for its own use or for its customers, thereby securing scarce computing capacity, or sublease the space to others. Furthermore, many leases span up to 15 years, meaning the potential exposure will decline over time.
Industry Practice and Endorsement by Rating Agencies
Google’s approach reflects a broader trend in financial engineering aimed at supporting AI infrastructure development. Its competitors are employing similar strategies—for example, Meta is building data centers in Louisiana and Texas through minority-owned joint ventures to keep them off its balance sheet, while Oracle also relies on off-balance-sheet arrangements to support its expansion.
In addition to existing guarantees, tech giants like Alphabet have signed off-balance-sheet data center lease agreements worth hundreds of billions of dollars that have not yet commenced. As of the end of June, Alphabet’s total uncommenced leases of this type amounted to $85.2 billion. Moreover, it has provided additional backup financial guarantees totaling $7.6 billion to assist partners in securing power and energy equipment, and has agreed to provide a further $24.1 billion in future guarantees once final terms are settled.
Anubhav Arora, credit analyst at Fitch Ratings, emphasized the importance of Google’s financial strength to the ratings of these obligations. He explained that Fitch “heavily relies on the guarantees provided by Google” when assigning investment-grade ratings to these projects. He expects this trend to continue and noted that Google generated over $185 billion in operating cash flow in the past 12 months, retaining strong financing capacity.
Securing Upside Potential: Requesting Warrants to Hedge Risk
While assuming default risk, Google has also structured transactions to share in the upside if data center developers’ stock prices perform well. In certain deals, Google has received equity warrants in exchange for providing guarantees.
For example, Google holds warrants that allow it to own a 14% stake in TeraWulf, which is building a data center for Fluidstack in Barker, New York. In a similar arrangement with Cipher Digital, Google also holds warrants potentially worth an equivalent of 5.4% of the company’s shares. If Google chooses to terminate the guarantee, it may need to make a substantial one-time payment to bondholders, but this payment would effectively be converted into an equity interest in the project.
However, there are exceptions to this model. Fitch Ratings noted that in Hut 8’s transaction, if Fluidstack defaults, Google would be responsible for the full payment over the 15-year lease term, and neither party could terminate their obligations even in the event of significant construction delays. Hut 8 CEO Asher Genoot disclosed during a conference call that the data center lease agreement is valued at $7 billion, plus an additional $2 billion covering electricity, property taxes, insurance, and other costs, and that the company did not issue any warrants to Google. According to informed sources, this deal is considered an exceptional case and is unlikely to be replicated in the future.
